At Metzy & Co., we believe ordering custom products should be exciting—not confusing. Our goal has never been to simply print products. Our goal is to create an experience that is organized, transparent, professional, and enjoyable from your very first interaction through project completion.

Every system we have built—including the Custom Design Studio, Customer Order Portal, and Metzy on Demand—exists to simplify the ordering process while providing clear communication every step of the way.

1. Our Commitment

At Metzy & Co., everything we do is guided by one simple philosophy: Make custom ordering simple.

We are committed to providing clear communication, quality workmanship, transparency throughout every project, and a professional experience from the first conversation through final delivery. We believe successful projects are built on collaboration, honesty, and mutual respect.

2. Acceptance of this Agreement

By accessing or using the Metzy & Co. website, requesting a quote, placing an order, using the Custom Design Studio, Customer Order Portal, Metzy on Demand, or any related products or services, you agree to this Master Agreement and all companion policies incorporated by reference.

3. Definitions

Metzy & Co.: Metzy & Co., its owners, employees, contractors, and authorized representatives.

Customer: Any individual or organization requesting or purchasing products or services.

Custom Design Studio: Metzy & Co.'s guided online project submission and customization platform.

Customer Order Portal: The secure portal used to manage projects, approve mockups, upload files, make payments, and communicate.

Metzy on Demand: Metzy & Co.'s branded reorder storefront platform for approved organizations.

4. Products & Services

Metzy & Co. provides custom products and creative services, including but not limited to custom apparel, drinkware, stickers and UV DTF products, business branding, logo design, graphic design, website design and development, digital design services, organization storefronts, custom ordering solutions, reorder programs including Metzy on Demand, and other products or services offered through our website or by written agreement.

Because our business continues to evolve, we may introduce, modify, suspend, or discontinue products, services, features, suppliers, or software without prior notice. Product photographs, mockups, renderings, and digital previews are intended to represent the final product as accurately as reasonably possible, but slight differences may occur due to manufacturing methods, screen settings, materials, and production processes.

5. Quotes, Estimates & Pricing

Quotes and estimates are prepared using the information available at the time they are issued and are generally valid for thirty (30) days unless otherwise stated in writing.

Quotes may change if quantities, products, garment brands, colors, decoration methods, artwork, shipping requirements, supplier pricing, taxes, or project scope change before final approval.

Metzy & Co. reserves the right to correct clerical, typographical, calculation, pricing, inventory, or product information errors before accepting or completing an order. Unless expressly stated, shipping, sales tax, rush production, design services, and other optional charges are not included in quoted pricing.

6. Payments

Payment requirements vary depending upon the project. Certain orders may require full payment before production begins, while larger or custom projects may require a deposit, milestone payments, or payment upon completion as agreed in writing.

Production generally will not begin until all required payments have been received. Customers remain responsible for any unpaid balances, applicable taxes, shipping charges, approved change orders, or other fees associated with their project.

Accepted payment methods may change over time and may include major credit and debit cards, electronic payments, bank transfers, ACH, approved digital payment services, cash, checks, or other payment methods accepted by Metzy & Co.

7. Production Process

Every order is custom produced based upon the information supplied and approved by the customer. Production typically begins after all required project information has been received, including, where applicable:
• Approved quote
• Required payment or deposit
• Artwork or design information
• Mockup approval
• Final sizing or personalization details

Estimated production timelines are provided as planning tools and are not guarantees unless expressly agreed to in writing. Production schedules may be affected by supplier inventory, shipping carrier delays, equipment maintenance, severe weather, holidays, customer response times, or other circumstances outside Metzy & Co.'s reasonable control.

8. Customer Responsibilities

Customers play an important role in the success of every custom project. By placing an order or submitting a request, customers agree to:
• Provide accurate contact and shipping information.
• Review quotes, invoices, mockups, proofs, and approvals carefully.
• Verify spelling, names, dates, phone numbers, quantities, colors, sizing, and artwork placement.
• Respond promptly to requests for approvals or additional information.
• Notify Metzy & Co. immediately if corrections are needed before production begins.

Customer-caused delays, including delayed approvals, artwork submissions, payments, or sizing information, may extend estimated production or delivery timelines.

9. Mockup Approval

Many custom projects include one or more digital mockups or proofs prior to production. These mockups are provided so customers can carefully review every aspect of the project before manufacturing begins.

Customers are responsible for verifying spelling, grammar, names, dates, phone numbers, colors, design placement, artwork, quantities, garment selections, and any other project details shown on the mockup.

Approval of a mockup constitutes authorization for Metzy & Co. to begin production using the approved design. Once production has started, changes may not be possible and may require additional charges or a new order.

Metzy & Co. is not responsible for customer-approved errors that appear on an approved mockup.

10. Custom Design Studio

The Custom Design Studio is Metzy & Co.'s guided online ordering experience designed to simplify custom ordering.

Submitting a request through the Custom Design Studio is a request for review and does not automatically create an order or guarantee acceptance of a project.

Metzy & Co. may contact the customer to clarify project details, request additional information, recommend alternative products, adjust quantities, or prepare a formal quote before accepting the project.

Customers are responsible for providing accurate information throughout the submission process. Uploaded artwork, notes, measurements, and product selections become part of the project record.

11. Customer Order Portal

The Customer Order Portal provides a centralized location for managing active projects.

Depending upon the project, customers may be able to:
• Review order details
• Approve mockups
• Submit sizing
• Upload artwork and files
• Exchange messages
• View invoices
• Make payments
• Track production status
• Review completed orders

Portal features may change over time as Metzy & Co. continues improving its services.

Customers are responsible for maintaining the confidentiality of portal access information and notifying Metzy & Co. if unauthorized access is suspected.

12. Metzy on Demand

Metzy on Demand is a branded reorder platform created for approved businesses, organizations, schools, churches, sports teams, and similar groups.

Each storefront may include approved products, branding, pricing, ordering rules, and access requirements established for that organization.

Storefronts may be public, private, password protected, or invitation-only. Customers agree not to share access credentials when access is intended to be restricted.

Metzy & Co. reserves the right to suspend or remove storefront access in cases of misuse, fraud, security concerns, discontinued programs, or violation of these policies.

13. Portal Communications & File Uploads

Messages, approvals, uploaded artwork, sizing information, and other information submitted through the Custom Design Studio, Customer Order Portal, or Metzy on Demand may be retained as part of the permanent project history.

Customers should upload only content necessary to complete their project and represent that they have the legal right to submit all uploaded files.

By using these systems, customers acknowledge that electronic approvals, electronic communications, and electronic records may be relied upon by both parties in connection with the project.

14. Shipping & Production

Every order produced by Metzy & Co. is custom manufactured specifically for each customer.

Estimated production and shipping timelines are provided for planning purposes only and are not guaranteed unless expressly agreed to in writing. Delays may occur due to supplier inventory, shipping carrier interruptions, severe weather, equipment maintenance, holidays, labor shortages, or other events outside of Metzy & Co.'s reasonable control.

Customers are responsible for providing accurate shipping information. Once an order has been transferred to the shipping carrier, delivery timing becomes the responsibility of the carrier. Metzy & Co. will reasonably assist customers with carrier claims when appropriate.

15. Return, Refund & Replacement Policy

Every item produced by Metzy & Co. is custom-made to order. Because of the personalized nature of our products, all sales are final.

If an item arrives with an error, defect, or quality issue caused by Metzy & Co., we will review the issue and, when appropriate, provide a replacement or another reasonable resolution.

Customers should carefully review all order information before production. Claims regarding manufacturing defects or production errors must be submitted within five (5) days of delivery and include clear photographs of the issue. Damage caused by improper care, misuse, unauthorized alterations, normal wear, or customer-approved errors is not eligible for replacement.

16. Artwork & Intellectual Property

16.1 Customer-Owned Intellectual Property

Customers retain ownership of their pre-existing logos, trademarks, copyrighted works, branding, photographs, and other intellectual property they own or are authorized to use. Nothing in this Agreement transfers ownership of that intellectual property to Metzy & Co.

16.2 Customer Representations & Warranties

Customers represent that they own or have permission to use all submitted content and authorize Metzy & Co. to use it to quote, design, produce, fulfill, support, archive, and reorder their project. Customers agree to defend and indemnify Metzy & Co. against claims arising from customer-supplied content.

16.3 License to Produce Customer Projects

Customers grant Metzy & Co. a non-exclusive license to reproduce, resize, modify only as necessary for production, store, and use submitted materials for project fulfillment, customer support, warranty work, archives, and future reorders. Ownership of customer intellectual property is not transferred.

16.4 Original Designs & Creative Works of Metzy & Co.

Unless expressly assigned in writing, original creative expression created by Metzy & Co. remains the intellectual property of Metzy & Co. Payment alone does not transfer copyright, source files, working files, drafts, templates, production methods, internal assets, or proprietary workflows. Any ownership transfer or work-made-for-hire arrangement must be in a separate written agreement.

16.5 Metzy & Co. Intellectual Property

The Metzy & Co. name, brand, website, Custom Design Studio, Customer Order Portal, Metzy on Demand, software, templates, pricing systems, documentation, policies, photography, workflows, and business systems remain the exclusive property of Metzy & Co.

16.6 Production Files & Project Records

Metzy & Co. may retain production-ready artwork, layouts, proofs, order history, sizing, approvals, and production records for support, warranty, quality assurance, archival purposes, and future reorders.

16.7 Original Metzy & Co. Designs & Design Library

Original designs created by Metzy & Co. that do not incorporate customer-protected intellectual property remain part of the Metzy & Co. Design Library. Metzy & Co. may reproduce, modify, publish, market, and sell those original works and may reuse its general artistic styles, layouts, techniques, themes, and creative concepts without transferring ownership.

16.8 Design License & Authorized Reproduction

Customers receive a non-exclusive, non-transferable license to use Metzy & Co.-created designs for their intended purpose. Unless otherwise agreed in writing, designs created by Metzy & Co. may not be reproduced through another printer or manufacturer. Customer ownership of logos and trademarks does not include ownership of Metzy & Co.'s original creative layouts, compositions, or design work.

16.9 Mockups, Proofs & Production Artwork

Mockups, proofs, renderings, production artwork, and digital previews are provided solely for review and approval. They are part of Metzy & Co.'s protected creative work and may not be copied, reproduced, or provided to another manufacturer without Metzy & Co.'s prior written authorization.

16.10 Third-Party Licensed Assets

Some projects may include licensed fonts, graphics, icons, textures, or other third-party assets. Rights to those materials remain governed by their respective licenses and are not transferred by Metzy & Co.

16.11 Exclusive Design Buyouts & Intellectual Property Assignments

Customers seeking unrestricted reproduction rights or ownership of Metzy & Co.-created creative work may request a separate written Exclusive Design Buyout or Intellectual Property Assignment, subject to Metzy & Co.'s approval and additional fees.

16.12 Reservation of Rights

Any rights not expressly granted by this Agreement are reserved by Metzy & Co.

17. Portfolio & Marketing Rights

Unless a customer specifically requests otherwise in writing before publication, customers grant Metzy & Co. a perpetual, worldwide, non-exclusive, royalty-free license to photograph, display, reproduce, publish, and promote completed projects, approved mockups, and finished products for portfolio, website, social media, advertising, educational, and promotional purposes.

Customers also authorize Metzy & Co. to identify them as a current or former client and display their business or organization name and logo within portfolio galleries, case studies, proposals, presentations, and 'Companies We've Worked With' or similar sections.

This permission allows Metzy & Co. to showcase work performed and does not transfer ownership of the customer's underlying intellectual property. Customers may request in writing that future promotional use of a project be discontinued, and Metzy & Co. will make reasonable efforts to honor those requests prospectively.

18. Digital Services

In addition to custom products, Metzy & Co. may provide digital services including, but not limited to, logo design, branding, graphic design, website design and development, digital marketing materials, business systems, forms, portals, and related creative services.

Project scope, deliverables, revisions, timelines, ownership, and licensing may vary by project and may be governed by a separate written proposal or agreement. Where no separate agreement exists, these Policies & Legal Information apply.

Unless otherwise agreed in writing, source files, working files, development files, internal templates, and proprietary workflows are not included with a project and remain the property of Metzy & Co.

19. Privacy

Metzy & Co. respects your privacy. Our collection, use, storage, and protection of customer information is governed by the Metzy & Co. Privacy Policy, which is incorporated into this Master Agreement by reference.

By using our website or services, you acknowledge that you have reviewed the Privacy Policy.

20. Disclaimer of Warranties

Except as expressly stated in writing, products and services are provided on an "as-is" and "as-available" basis. Metzy & Co. disclaims all warranties, express or implied, to the fullest extent permitted by applicable law, including implied warranties of merchantability and fitness for a particular purpose.

Nothing in this section limits any warranty that cannot legally be disclaimed under applicable law.

21. Limitation of Liability

To the fullest extent permitted by law, Metzy & Co.'s total liability arising from any claim relating to a product or service shall not exceed the amount paid by the customer for the specific order giving rise to the claim.

Metzy & Co. shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost business opportunities, or business interruption, even if advised of the possibility of such damages.

22. Indemnification

Customers agree to defend, indemnify, and hold harmless Metzy & Co., its owners, employees, contractors, and representatives from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from the customer's misuse of our services, violation of this Agreement, or infringement related to customer-provided content.

23. Force Majeure

Metzy & Co. shall not be responsible for delays or failure to perform caused by events beyond its reasonable control, including severe weather, natural disasters, acts of government, labor disputes, supplier shortages, shipping carrier disruptions, power outages, internet or technology failures, pandemics, or similar events.

24. Order Abandonment

If a customer fails to respond to requests for approvals, artwork, payment, sizing, or other required information for an extended period, Metzy & Co. may place the project on hold. Projects that remain inactive for ninety (90) days may be considered abandoned and may require updated pricing, new production timelines, or resubmission before work resumes.

25. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Ohio without regard to conflict of law principles. The parties agree to make reasonable good-faith efforts to resolve disputes before pursuing formal legal action. Venue for any legal proceeding shall lie in a court of competent jurisdiction located in Ohio, unless otherwise required by law.

26. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

27. Policy Updates

Metzy & Co. may update these Policies & Legal Information periodically to reflect changes in our business, services, legal requirements, or technology. The version number and last updated date identify the current edition. Continued use of our services after updates constitutes acceptance of the revised policies.
